1. Definitions

In these Terms and Conditions, the following definitions apply:

2. Acceptance of Terms

By creating an Account, you confirm that you have read, understood, and agree to be bound by this Agreement. If you are registering on behalf of a legal entity, you represent and warrant that you have authority to bind that entity to this Agreement.

Stoodio reserves the right to update this Agreement at any time. We will notify you of material changes via email or a prominent notice within the Platform. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised terms.

If you do not agree to this Agreement, you must not create an Account or use the Platform.

Acceptance is given by an affirmative act: ticking the acceptance checkbox at registration, or at the consent screen shown on your first access to the Platform. No use of the Platform is authorised before acceptance.

3. Nature of the Platform and Service

3.1 Your professional home in the art world

Stoodio is not a generic website builder. It is a professional platform built exclusively for visual artists, with the purpose of helping them develop, promote, and sustain their artistic career.

The service Stoodio provides includes:

The Artist Website is the primary delivery mechanism for many of these services, but it is one component of a broader offering. By registering on the Platform, the Artist is engaging with Stoodio as a professional partner in their career development, not merely obtaining a website.

As part of this mission, Stoodio collects and processes Artist Data — including data about the Artist's work, social media presence, sales activity, and audience engagement — to generate performance insights, improve the Platform, and facilitate connections between Artists and Art Sector Partners who may be interested in their work or seeking market intelligence. Aggregated and anonymised insight is an integral element of the service. The sharing of your individual, non-anonymised data with Art Sector Partners supports your visibility and can be switched off at any time in the Privacy & legal section of the Settings (see Clause 9.3).

3.2 Availability

Stoodio will use commercially reasonable endeavours to make the Platform available 24 hours a day, 7 days a week, except for planned maintenance (for which we will endeavour to give reasonable advance notice) and events outside our reasonable control.

Stoodio does not guarantee uninterrupted or error-free availability of the Platform and shall not be liable for any downtime, data loss, or service interruption.

3.3 Platform modifications

Stoodio reserves the right to modify, suspend, or discontinue any feature of the Platform at any time, with or without notice, provided that we will use reasonable endeavours to notify you of material changes that affect your use of the Service.

4. Artist Account

4.1 Registration

To use the Platform, you must complete the registration process, including the onboarding steps set out within the Platform. You agree to provide accurate, complete, and current information during registration and to keep that information up to date.

You must be at least 18 years of age to create an Account. By registering, you represent and warrant that you meet this age requirement.

4.2 Account security

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify Stoodio immediately of any unauthorised use of your Account or any other breach of security.

4.3 One Account per Artist

Each Artist may hold only one Account. Stoodio reserves the right to terminate duplicate Accounts.

5. Subscription Plans and Fees

5.1 Free Plan

The Free Plan provides access to a defined subset of Platform features at no charge. Features available under the Free Plan are set out on the Pricing page at stoodio.io/pricing, as updated from time to time. Stoodio reserves the right to modify the features included in the Free Plan on reasonable notice.

5.2 Pro Plan

The Pro Plan provides access to the full feature set of the Platform, including advanced analytics, direct payment integration, and enhanced visibility tools, in exchange for a recurring monthly subscription fee as published on the Pricing page at stoodio.io/pricing at the time of subscription.

The Pro Plan subscription renews automatically at the end of each billing period unless cancelled by the Artist in accordance with Clause 5.4. By subscribing to the Pro Plan, you authorise Stoodio to charge the applicable fee to your designated payment method on a recurring basis.

All fees are stated exclusive of any applicable taxes, which shall be payable by the Artist in addition.

5.3 Fee changes

Stoodio reserves the right to change subscription fees on at least 30 days' written notice. If you do not accept the new fees, you may cancel your subscription prior to the effective date of the change without penalty.

5.4 Cancellation and refunds

You may cancel your Pro Plan subscription at any time via the Settings section of your Account. Cancellation takes effect at the end of the current billing period. Stoodio does not provide pro-rata refunds for unused portions of a billing period, except where required by applicable law.

If you are a consumer in the United Kingdom or the European Union, you may cancel a new Pro Plan subscription within 14 days of first subscribing and receive a full refund. Where you have used Pro features during that period, Stoodio may deduct an amount proportionate to the service already provided. To cancel within this period, use the Settings section of your Account or contact hello@stoodio.io.

6. Payment Processing

6.1 Direct payment model

Stoodio does not process, hold, or transmit payments made by collectors or buyers to Artists. All financial transactions between an Artist and a collector or buyer are processed exclusively through the Third-Party Payment Processor selected and independently configured by the Artist.

By connecting a Third-Party Payment Processor to their Account, the Artist enters into a direct contractual relationship with that processor and agrees to be bound by the processor's terms of service. Stoodio is not a party to that relationship and has no access to the Artist's financial account details, card data, bank information, or any other sensitive payment credentials.

6.2 Transaction status notifications

For the purpose of generating accurate performance analytics, tracking the Artist's commercial activity on the Platform, and providing the data-driven services described in Clauses 9 and 9A, Stoodio receives automated notifications of transaction status from Third-Party Payment Processors (for example, confirmation that a payment was completed, pending, or failed). These notifications do not include payment card details, bank account numbers, or any other sensitive financial data.

6.3 Stoodio's fees on transactions

As of the effective date of this Agreement, Stoodio does not charge a commission or referral fee on sales made through the Platform. The Artist's subscription fee is currently the sole consideration payable to Stoodio for access to the Platform.

Stoodio reserves the right to introduce, at any time after reasonable notice to the Artist, a referral fee or commission on transactions that are attributable to Stoodio's services — including, without limitation, sales arising from introductions, referrals, or discovery facilitated by Stoodio's data intelligence services, Art Sector Partner network, or the Stoodio platform itself. Any such fee will be communicated to the Artist at least 30 days before it takes effect, with clear details of the applicable rate, the categories of transactions to which it applies, and the method of calculation. If the Artist does not accept the referral fee, the Artist may cancel their subscription prior to the effective date of the change without penalty, in accordance with Clause 5.4.

6.4 Third-party processor fees

Third-Party Payment Processors may charge their own transaction fees, which are the sole responsibility of the Artist. Stoodio has no control over and accepts no liability for fees charged by Third-Party Payment Processors.

7. Artist Content

7.1 Ownership

The Artist retains full ownership of all intellectual property rights in their Content. Nothing in this Agreement transfers to Stoodio any ownership of the Artist's artwork, images, or other creative works.

7.2 Licence to Stoodio

By uploading Content to the Platform, the Artist grants Stoodio a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, distribute, and use that Content for the purposes of: (a) operating and providing the Platform and Artist Website; (b) generating performance analytics, insights, and Derived Representations, and developing and operating the Assistive AI described in Clauses 9 and 9A; and (c) promoting the Platform and the Artist's work on Stoodio's marketing channels, unless the Artist opts out of promotional use via the Settings section of their Account.

7.3 Artist warranties

The Artist represents and warrants that: (a) they own or have the necessary rights and licences to upload all Content; (b) the Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; (c) the Content does not contain any material that is unlawful, defamatory, obscene, or otherwise objectionable; and (d) the Content complies with all applicable laws and regulations.

7.4 Removal of Content

Stoodio reserves the right to remove any Content that it reasonably believes violates this Agreement or applicable law, without prior notice and without liability to the Artist.

8. Artist Website

8.1 Publication and domain

Upon completing the onboarding process, Stoodio will publish the Artist Website on a subdomain of stoodio.io (e.g., artistname.stoodio.io). Artists on the Pro Plan may configure a custom domain, subject to availability and compliance with domain registration requirements.

8.2 Stoodio attribution

All Artist Websites will include a discrete Stoodio attribution element in the footer (e.g., Powered by Stoodio). The Artist may not remove or obscure this attribution.

8.3 Visitor data

The Artist acknowledges that Stoodio collects data from visitors to the Artist Website in accordance with the Platform's Data Processing Agreement (DOC 2) and the Privacy Policy published on the Artist Website. The Artist is the data controller in respect of visitor data collected via their Artist Website; Stoodio processes such data on the Artist's behalf as a data processor, and separately in its own capacity as an independent controller to the extent set out in Clauses 9 and 9A.

9. Data Collection, Processing, and Sharing

9.1 Categories of Artist Data collected

In the course of providing the Platform and its associated services, Stoodio collects and processes the following categories of Artist Data:

9.3 Sharing Artist Data with Art Sector Partners

A core component of the service Stoodio provides is facilitating professional connections between Artists and Art Sector Partners — including galleries, collectors, advisors, and art-technology platforms. This function is integral to the Platform. The Artist controls whether their individual, non-anonymised data takes part in it, as set out at the end of this Clause 9.3.

Accordingly, and as a necessary element of performing this Agreement, Stoodio shares Artist Data — which may include individual, non-anonymised data as well as aggregated and anonymised data — with Art Sector Partners for the following purposes:

Stoodio will take reasonable steps to ensure that Art Sector Partners who receive Artist Data are bound by appropriate confidentiality obligations and use the data only for the purposes for which it was shared. Stoodio does not sell Artist Data as a standalone commercial product; any sharing of Artist Data occurs exclusively within the context of, and as a necessary function of, the professional promotion and market intelligence service that constitutes the subject matter of this Agreement.

The sharing of the Artist's individual, non-anonymised data with Art Sector Partners is carried out on the basis of Stoodio's legitimate interests (Article 6(1)(f)) in operating a discovery and market-intelligence service for the art sector. The Artist may object to it, and may switch it off at any time, in the Privacy & legal section of the Settings. The opt out takes effect for future sharing; it does not recall data already provided to a partner. Fully anonymised and aggregated outputs, from which no individual Artist can be identified, are not personal data, and Stoodio continues to produce them regardless of this setting.

9.4 Social Data: contractual basis for processing

The collection and processing of Social Data is an integral component of the service Stoodio provides and a necessary element of performing this Agreement. By registering for an Account, the Artist acknowledges that Stoodio will collect, process, and retain publicly available data from the Artist's social media profiles and publications, across all platforms on which the Artist maintains a public presence, including without limitation Instagram, TikTok, and Facebook. This includes data collected directly via the Platform's integrations and data collected through automated means from public sources.

Social Data collection covers both the Artist's current and future social media activity for the duration of the Agreement. Stoodio will use Social Data to compute performance metrics, track audience growth, and provide insights to the Artist and to Art Sector Partners as part of the service described in Clause 9.3. Social Data is used to compute the Artist's own performance metrics; its onward sharing with Art Sector Partners in individual form follows the same legitimate-interests basis and the same opt out as Clause 9.3.

9.5 Legal basis for processing

Stoodio processes Artist Data on the following legal bases under UK GDPR:

9.6 Data retention

Upon Account deletion, Artist Data is deleted immediately, except: (a) records Stoodio must retain to comply with tax, accounting, or other legal obligations, kept no longer than the law requires; (b) evidence of legal acceptances and consent, retained for up to six (6) years for the establishment, exercise, or defence of legal claims; and (c) fully anonymised and aggregated data from which the Artist cannot be re-identified, which may be retained indefinitely. Derived Representations are deleted or irreversibly disassociated within 90 days.

9.7 Artist rights under UK GDPR

Subject to applicable law, the Artist has the right to access, rectify, erase, restrict, or port their personal data, and to object to certain processing activities. These rights may be exercised via the Privacy & legal settings in the Account or by contacting Stoodio at hello@stoodio.io. Stoodio will respond to requests within the timeframes required by UK GDPR. The Artist may object to processing based on legitimate interests, including the sharing described in Clause 9.3, via the Privacy & legal section of the Settings or by contacting hello@stoodio.io.

9A. Your Artwork and AI: What Stoodio Will Never Do, and What We Will

Stoodio is built to support artists. We know artists have serious and legitimate concerns about the use of their work in connection with artificial intelligence, and we want to be unambiguous.

9A.1 The absolute commitments

Stoodio will never, and will never permit any third party to:

(a) use the Artist's Content to train, fine-tune, pre-train, embed for training purposes, or otherwise develop or improve any Generative Visual AI, whether operated by Stoodio or by any third party;

(b) license, sell, transfer, disclose, or otherwise make available the Artist's Content, or any Derived Representation of it, to any third party for the purpose of AI or machine learning training, dataset creation or curation, benchmarking, or any form of automated reproduction or synthesis of visual works. This paragraph does not prevent Stoodio from disclosing Content to a sub-processor engaged on Stoodio's behalf, on the terms required by Clause 9A.3, and solely for the purpose of training, evaluating, or operating Stoodio's own Assistive AI;

(c) use the Artist's Content or Artist Data to replicate, imitate, emulate, or generate derivative versions of the Artist's artistic style, technique, visual language, or body of work, or to enable any third party to do so;

(d) share the Artist's individual artwork images or other creative Content with Art Sector Partners or any other third party for any purpose other than the display and promotion of the Artist's work as part of the Platform and the services described in this Agreement;

(e) sell, license, or disclose to any third party the Derived Representations that Stoodio computes from the Artist's Content, whether for the purpose of generating visual content, reconstructing the Artist's works, or training any Generative Visual AI;

(f) use, or attempt to use, any Derived Representation to train, fine-tune, or evaluate any Generative Visual AI, or to reconstruct, invert, approximate, or regenerate the Artist's Content, style, or technique, whether by Stoodio itself or by any third party. Derived Representations exist solely to power the analysis, search, matching, and recommendation services described in Clause 9A.2, and Stoodio may use them for no other purpose.

These commitments are absolute. They survive termination of this Agreement, and no amendment to this Agreement will weaken them in respect of Content uploaded before that amendment takes effect.

9A.2 How Stoodio uses AI

Subject always to Clause 9A.1, Stoodio may develop, train, operate, procure, and improve Assistive AI for any purpose that is, directly or indirectly, of benefit to the Artist, to other users of the Platform, or to the community Stoodio serves. Permitted purposes include, without limitation:

(a) Insights and metrics. Computing, refining, and personalising the Momentum Score, the Gallery Visibility Score, and any other derived metric described in Clause 9.1.

(b) Discovery and matching. Surfacing the Artist to galleries, collectors, advisors, and art-technology platforms whose professional interests align with the Artist's practice, and surfacing relevant opportunities, partners, and audiences to the Artist.

(c) Assistance with the Artist's own material. Helping the Artist draft, edit, translate, or improve text the Artist chooses to publish, such as a biography, an artist statement, a work description, an exhibition text, or a reply to an inquiry. Any such output is presented to the Artist as a suggestion for the Artist to accept, edit, or discard, and is never published without the Artist's own action.

(d) Studying and understanding the work itself. Analysing the visual content of the Artist's Content in order to understand it: its composition, palette, materials, medium, subject matter, technique, scale, period, and stylistic characteristics. This expressly includes computing and retaining Derived Representations, as defined in Clause 1, for the purpose of powering the analysis, search, matching, and recommendation services described in this Clause. It also includes generating alternative text for accessibility, detecting the subject or focal point of an image for cropping and framing, extracting or verifying metadata, reading text from a document the Artist uploads such as a CV, transcribing or captioning video, and detecting duplicates.

Reading, measuring, describing, classifying, and comparing an artwork in order to understand it and to place it in front of the right person is expressly permitted. Using it to train, or to help anyone else train, a model that makes visual work is not.

(e) Search, similarity, and recommendation. Enabling the Artist, collectors, and Art Sector Partners to search, filter, and discover works and profiles, including by visual, stylistic, and semantic affinity, and recommending an Artist's specific works to collectors, galleries, advisors, and other parties whose established interests, collection, or programme those works resemble. No visual output is generated: the output is a match, a ranking, or a recommendation pointing to the Artist's own work.

(f) Trust, safety, and integrity. Detecting spam, fraud, abuse, bot traffic, unlawful or infringing material, and unauthorised use of the Platform.

(g) Support and operations. Triaging and answering support requests, translating communications, and improving Stoodio's documentation and internal processes.

(h) Platform development. Analysing usage in order to build, test, debug, secure, and improve the Platform and the quality of the connections it facilitates.

(i) Market understanding. Producing the aggregated and anonymised market intelligence described in Clauses 9.2 and 9.3.

The line, stated plainly. Stoodio may train, fine-tune, and improve its own Assistive AI on the Artist's Content, including on artwork images, because that is how a model learns to recognise what a work is and who it belongs in front of. What Stoodio may never do is train, or help anyone else train, a model that makes visual work, or that reproduces the Artist's style. The distinction is not between looking and not looking. It is between understanding a work and manufacturing a substitute for it.

No Assistive AI operated or procured by Stoodio produces visual artworks, images, or other visual creative content as an output. The outputs of Assistive AI consist of scores, rankings, classifications, matches, recommendations, descriptions, translations, and text suggestions.

9A.3 Third-party AI providers

Stoodio may use third-party AI services as sub-processors, within the carve-out in Clause 9A.1(b). Where it does so, Stoodio will engage each provider on terms that contractually prohibit the provider from using Stoodio's inputs, including any Artist Content or Artist Data, to train or improve that provider's own models, and that require deletion of those inputs within a limited retention period. Stoodio will not transmit Artist Content to any AI provider that does not offer those terms.

9A.4 Human oversight

Assistive AI informs decisions; it does not make decisions about the Artist that produce legal effects or that similarly significantly affect the Artist. No decision to suspend or terminate an Account, to apply a fee, or to exclude the Artist from a service is taken solely by automated means without human review.

9A.5 The Artist's control

Optional AI-assisted features that generate suggestions for the Artist's own material under Clause 9A.2(c) may be disabled at any time in the Privacy & legal section of the Settings.

The Assistive AI described in Clauses 9A.2(a) insights and metrics, (b) discovery and matching, (d) studying and understanding the work, (e) search, similarity and recommendation, (f) trust, safety and integrity, (g) support and operations, (h) platform development, and (i) market understanding forms part of operating the Platform and delivering the service the Artist has engaged, and cannot be disabled independently of the Account. In particular, the computation of Derived Representations under 9A.2(d) and the matching under 9A.2(e) are the mechanism by which the Artist's work is put in front of the right people; without them there is no service to provide.

Separately, and independently of the above, the Artist may opt out of having their individual, non-anonymised profile shared with Art Sector Partners, in the Privacy & legal section of the Settings. That opt out does not disable the analysis and matching Stoodio performs for the Artist's own benefit.

9A.6 Purpose

The Artist Data Stoodio collects and shares is used to help the Artist gain visibility with galleries, collectors, and the wider professional art world; to let Art Sector Partners discover artists whose practice matches their interests; to improve the collective understanding of how the primary art market works; and to power the models described in Clause 9A.2.

Your work is yours. Stoodio exists to get it seen by the right people and to bring the right opportunities to you. We use AI to do that job better, never to make a substitute for what you make.

10. Intellectual Property

All intellectual property rights in the Platform, including its software, design, data models, algorithms, computed scores, and any original analytical outputs generated by Stoodio, are and shall remain the exclusive property of STOODIO LTD or its licensors. No rights in respect of the Platform are transferred to the Artist by this Agreement.

The Stoodio name, logo, and all related marks are trademarks of STOODIO LTD. The Artist must not use these marks without Stoodio's prior written consent.

11. Warranties and Disclaimers

The Platform is provided "as is" and "as available". To the fullest extent permitted by applicable law, Stoodio disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Stoodio does not warrant that: (a) the Platform will meet the Artist's specific requirements; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) any derived metrics or performance scores generated by the Platform are accurate, complete, or suitable for any particular commercial purpose; or (d) use of the Platform will result in any particular commercial outcome, gallery representation, or sale.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Stoodio shall not be liable to the Artist for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with this Agreement or the Artist's use of the Platform, even if Stoodio has been advised of the possibility of such damages.

Stoodio's total aggregate liability to the Artist under or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of £100 and the total fees paid by the Artist to Stoodio in the twelve (12) months preceding the event giving rise to the claim.

Nothing in this Agreement excludes or limits Stoodio's liability for: (a) death or personal injury caused by Stoodio's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by law.

13. Indemnification

The Artist agrees to indemnify, defend, and hold harmless Stoodio, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Artist's breach of this Agreement; (b) the Artist's Content; (c) the Artist's use of the Platform; or (d) any claim by a third party in respect of a transaction conducted via the Artist's Website or payment integration.

14. Term and Termination

14.1 Term

This Agreement commences on the date of Account registration and continues until terminated in accordance with this Clause.

14.2 Termination by the Artist

The Artist may terminate this Agreement at any time by deleting their Account via the Danger Zone section of the Settings. Upon deletion, the Artist's Account and Artist Website will be permanently removed from the Platform. Deletion is immediate and permanent; there is no recovery period.

14.3 Termination by Stoodio

Stoodio may terminate or suspend the Artist's Account immediately, without prior notice, if: (a) the Artist materially breaches this Agreement; (b) the Artist's use of the Platform causes harm to Stoodio or third parties; (c) Stoodio is required to do so by law or court order; or (d) Stoodio decides to discontinue the Platform or a material component of it.

14.4 Effect of termination

Upon termination, the Artist's right to access and use the Platform ceases immediately. Stoodio will retain Artist Data in accordance with Clause 9.6. Clauses that by their nature should survive termination (including without limitation Clause 7.1, Clauses 9 and 9A, 10, 11, 12, 13, and 16) shall survive termination of this Agreement.

15. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with this Agreement that is identified as confidential or that should reasonably be understood to be confidential. This obligation does not apply to information that: (a) is or becomes publicly available other than through the receiving party's breach; (b) was already known to the receiving party; (c) is independently developed by the receiving party; or (d) must be disclosed by law or regulation.

16. General Provisions

16.1 Governing law and jurisdiction

This Agreement is governed by the laws of England and Wales. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16.2 Entire agreement

This Agreement, together with the Data Processing Agreement (DOC 2) and the Privacy Policies published on the Platform, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous agreements, representations, and understandings.

16.3 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16.4 Waiver

No failure or delay by either party in exercising any right or remedy under this Agreement shall constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy shall preclude or restrict the further exercise of any such right or remedy.

16.5 Assignment

The Artist may not assign or transfer any rights or obligations under this Agreement without Stoodio's prior written consent. Stoodio may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets, provided that the assignee assumes all obligations under this Agreement.

16.6 Force majeure

Neither party shall be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, pandemic, governmental actions, internet or infrastructure outages, or third-party platform failures.

16.7 Notices

Notices to Stoodio should be sent to hello@stoodio.io. Notices to the Artist will be sent to the email address registered in the Artist's Account. Notices sent by email are effective upon transmission.
